Egis SA (the “Issuer”) announced today that it has launched an offering (the “Offering”) of €400 million in aggregate principal amount of fixed rate senior notes due 2031 (the “Notes”). The gross proceeds from the Offering are expected to be €400 million.
The completion of the Offering is subject to market conditions and, if completed, the Issuer will use the gross proceeds from the Offering to (a) repay in full the bridge-to-debt facility provided under the bridge facilities agreement dated July 10, 2025, (b) make the scheduled amortizing payments in 2026 on the term loans provided under the Issuer’s credit facilities agreement dated June 10, 2024, in accordance with the terms thereof, (c) partially prepay outstanding amounts on the term loan provided under the Issuer’s credit facilities agreement dated June 28, 2023, (d) pay fees and expenses related to the refinancing described above, and (e) fund general corporate purposes with the remainder of the gross proceeds from the Offering.
